![]() ACEI is a member driven organization with a 10 member Executive Board. The primary role of the Executive Board is to govern, set policy, help determine direction, and make decisions that further the Association's tax-exempt purpose, i.e., to promote the inherent rights, education, and well-being of children (ACEI Constitution, Article II). The role of the Board is crucial to the success of the organization. In carrying out their duties, Board members are expected to adhere to the highest standards of personal conduct, integrity, and professionalism at all times. The position of ACEI Executive Board members is one of trusteeship. As a member of the ACEI Executive Board, one assumes legal, financial and moral responsibilities to the organization and the general public. Principles of nonprofit corporation law require that a board member meet certain standards of conduct, which are usually described as the duty of care, the duty of loyalty, and the duty of obedience. Duty of Care: A certain level of competence is expected from a board member when making a decision that impacts the organization. A board member owes a duty to exercise reasonable care. Duty of Loyalty: A board member must keep the best interests of the organization in mind when making a decision affecting the organization. One cannot use information gained from board membership to further personal interests. Duty of Obedience: Board members must make decisions that are consistent with the goals and mission of the organization. This duty allows the public to trust that the organization will appropriately use donated funds to fulfill the organization's mission. ACEI seeks to recruit and elect highly qualified candidates to serve on the Executive Board. Candidates should represent the diversity of the ACEI membership and possess the skills and experience neccessary to meet the Association's current and future needs. |
